Merchant Solutions – Incentive Payment Terms and Conditions

1. Merchant Solutions Private Limited ("Merchant Solutions") will pay you US$30.00 (including applicable taxes) ("incentive payment") for each new merchant* you successfully refer to Merchant Solutions for the provision of merchant processing services from the period 1 June 2008 to 31 December 2009 inclusive, subject to the terms and conditions set out below;
2. To be eligible for the incentive payment:
   1. you must be operating under a current and valid Merchant Solutions Merchant Processing Agreement and have an active nine digit Merchant Solutions merchant number ("merchant ID") allocated to you on the date that we receive the referral from you;
   2. the merchant that you refer to Merchant Solutions must enter into a Merchant Solutions Merchant Processing Agreement by 31 December 2009; and
   3. you must only refer a merchant to Merchant Solutions by submitting this form to Merchant Solutions.
3. Approval of the referred merchant by Merchant Solutions is subject to credit approval and other criteria as reasonably determined by Merchant Solutions from time to time. For the avoidance of doubt, in the event that Merchant Solutions do not approve the referred merchant, you will not be eligible for and Merchant Solutions will not be required to pay you the incentive payment.
4. You agree that upon demand from Merchant Solutions, you will issue an invoice that is compliant for tax purposes, in respect of the incentive payment.
5. By referring a merchant to us you agree that we may disclose to the referred merchant the fact that we paid an incentive payment to you together with the amount of the incentive payment and you agree to adhere to and be bound by the terms set out in this document.

* A new merchant excludes:

1. an existing merchant of Merchant Solutions operating under a Merchant Solutions Processing Agreement with a current merchant ID on the date that we receive the referral from you; and
2. any potential merchant that has submitted an application to, or is in discussions with, Merchant Solutions for the provision of merchant processing services on the date that we receive the referral from you.
